Welcome to LocalPros. These Terms of Service ("Terms") govern your access to and use of the website located at localpross.com (the "Service"), operated by LocalPros ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
1. Acceptance of Terms
By accessing, browsing, or using our Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. We reserve the right to modify these Terms at any time. Your continued use of the Service after any such modifications constitutes your acceptance of the revised Terms.

LocalPros is an online directory and lead generation platform that connects homeowners with local home service professionals. Our Service allows users to:
- Browse a directory of licensed and verified home service professionals across multiple categories including plumbing, electrical, HVAC, roofing, painting, moving, and more
- View professional profiles, credentials, ratings, and reviews
- Submit lead forms to request free, no-obligation quotes from service professionals in their area
- Compare service providers based on ratings, reviews, and qualifications
LocalPros serves as a directory and lead generation platform only. We do not directly provide any home improvement, repair, or maintenance services.
3. User Accounts and Responsibilities
While you may browse our Service without creating an account, certain features may require you to provide personal information. By using our Service, you agree to:
- Provide accurate, current, and complete information when submitting forms or creating an account
- Maintain the security of any account credentials
- Be responsible for all activity that occurs under your account
- Not use the Service for any unlawful or unauthorized purpose
- Not attempt to interfere with or disrupt the Service or servers connected to it
- Not use automated scripts, bots, or scrapers to access or collect data from the Service without our prior written consent
4. Lead Form Submissions
When you submit a lead form through our Service, you acknowledge and agree to the following:
- The personal information you provide (including your name, email address, phone number, service type, city, and project details) will be shared with one or more service professionals who may contact you regarding your request
- Service professionals may contact you via email, phone, or text message in response to your inquiry
- You consent to receiving communications related to your service request from both LocalPros and matched service professionals
- All information submitted must be truthful and accurate. Submitting false, misleading, or spam inquiries is strictly prohibited
5. No Guarantee of Service Quality
LocalPros is a directory and lead generation platform, not a service provider. We do not employ, endorse, or guarantee any of the service professionals listed on our platform. While we take reasonable steps to verify the credentials, licenses, and insurance of listed professionals, you acknowledge and agree that:
- We make no representations or warranties regarding the quality, safety, reliability, timeliness, or legality of services provided by any professional listed on our platform
- We are not responsible for the actions, omissions, or conduct of any service professional, whether online or offline
- Any agreement or transaction between you and a service professional is solely between you and that professional
- You should independently verify the credentials, licensing, and insurance of any service professional before engaging their services
- Reviews and ratings on our platform reflect the opinions of individual users and are not verified or endorsed by LocalPros
6. Intellectual Property
All content, features, and functionality of our Service, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the overall design and arrangement thereof, are the exclusive property of LocalPros or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent, except as incidental to normal web browsing (e.g., caching). The LocalPros name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LocalPros. You must not use such marks without our prior written permission.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOCALPROS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of, or inability to access or use, the Service
- Any conduct or content of any third party on the Service, including any defamatory, offensive, or illegal conduct of other users or third parties
- Any services provided by or actions of service professionals found through our platform
- Unauthorized access, use, or alteration of your transmissions or content
- Any property damage, personal injury, or other harm resulting from services performed by professionals listed on our platform
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO LOCALPROS, IF ANY, DURING THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
8. Indemnification
You agree to defend, indemnify, and hold harmless LocalPros, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, trademark, property, or privacy right; (d) any claim that your use of the Service caused damage to a third party; or (e) any content you submit, post, or transmit through the Service.
9. Dispute Resolution
9.1 Informal Resolution
Before filing a formal legal claim, you agree to try to resolve any dispute informally by contacting us at support@localpross.com. We will attempt to resolve the dispute informally within 30 days of receiving your notice.
9.2 Binding Arbitration
If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language and the arbitrator's decision shall be final and binding.
9.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against LocalPros.
10. Modifications to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect by posting a notice on our Service or sending an email to users who have provided their contact information. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
12. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LOCALPROS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
13. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LocalPros regarding the use of the Service. These Terms supersede all prior agreements, representations, and understandings between you and LocalPros, whether written or oral, regarding the Service.
